1. Grant of Distribution Rights

Digital Hustle With James (the "Owner") grants Buyer (the " Buyer") the non-exclusive rights to distribute the TikTok Affiliate Marketing Class course (the "Course") on the Teachable.com platform under the terms and conditions set forth in this agreement.

2. Scope of Rights

The Buyer is authorized to:

Market, promote, and sell access to the Course on Teachable.com. Use the Course materials, including videos, written content, and supplementary materials, solely for the purpose of distribution as outlined in this agreement.

3. Restrictions

The Buyer agrees to the following restrictions:

The Course content cannot be altered, edited, or modified in any way without prior written consent from the Owner. The Course cannot be distributed, resold, or sublicensed to any other party or platform without express written permission from the Owner. The Buyer must adhere to the pricing structure set by the Owner unless otherwise agreed upon in writing.

4. Marketing and Promotion

The Buyer is encouraged to actively market and promote the Course through various channels, including but not limited to social media, email marketing, and affiliate partnerships, to maximize reach and sales.

5. Compensation and Payment Terms

The seller will receive 100% of the revenue generated from the sales of the Course.

6. Intellectual Property

All intellectual property rights, including copyrights and trademarks, related to the Course content remain the exclusive property of the Owner. The Distributor acknowledges that they do not acquire any ownership rights to the Course content.

7. Confidentiality

The Buyer agrees to maintain the confidentiality of any proprietary information shared by the Owner, including but not limited to marketing strategies, customer data, and pricing details.

8. Termination

This agreement may be terminated by either party with 30 days' written notice. Upon termination, the buyer must cease all distribution and promotional activities related to the Course and remove all Course materials from their possession.

9. Governing Law
